Terms and Conditions

The Shamir RCPV Rewards Program (“Program”) offered by Shamir Insight, Inc. (“Shamir”), provides the participating Eye Care Practice or Professional (“Participant”) a price reduction (“RCPV Rebate”) on the purchase of eligible Shamir ophthalmic lens designs and coatings (“Qualifying Products”) from an authorized Shamir Partner Laboratory (“SPL”) pursuant to these Program Terms and Conditions.

1. Participant Eligibility
   The Participant shall be required to complete the following to be eligible for the Program and to begin earning RCPV Rebates:
   
   1. Complete a Program Enrollment Agreement & IRS Form W9.
      1. The Program shall commence on the 1st day of the month following the signing of the Program Enrollment Agreement.
      2. The Participant shall notify and provide Shamir an updated IRS Form W9 for any change in status.
   2. Meet the applicable Minimum Purchase Requirements of Qualifying Products from an SPL.
   3. Register at www.rcpvrewards.com (“Website”).
2. Qualifying Products and RCPV Rebates
   1. Qualifying Products and the corresponding RCPV Rebates, in addition to the Minimum Purchase Requirements shall be defined in a written agreement between Shamir and Participant.
   2. Qualifying Products and/or RCPV Rebates are subject to change at any point throughout the duration of the Program.
   3. Shamir shall notify the Participant in writing of any change in Qualifying Products and/or RCPV Rebates.
   4. Shamir shall confirm the purchases of Qualifying Products made by Participant through monthly sales reports received from an SPL.
   5. Qualifying Products Eligibility:
      1. RCPV Rebates shall be issued per pair of Qualifying Products purchased by the Participant from an SPL, once the applicable Minimum Purchase Requirement is met.
      2. Qualifying Products may be additive, the Participant shall be credited for multiple products as applicable. For example, if a purchase from an SPL includes a RCPV Rebate eligible Shamir lens design and coating.
      3. Samples of Shamir products provided to the Participant by Shamir, or an SPL cannot be Qualifying Products and are not eligible for the Program.
      4. Shamir products that have been returned by the Participant to Shamir or an SPL cannot be Qualified Products and are not eligible for the Program.
3. Qualifying Locations
   1. The Participant may have multiple Qualifying Locations eligible for RCPV Rebates. RCPV Rebates are offered to and earned by Qualifying Locations based on their purchase of Qualifying Products.
   2. The Corporate/Parent account of the Participant may receive the RCPV Rebate earned by the Qualifying Locations subject to the provisions of the written agreement between Shamir and Participant.
4. RCPV Rebate Redemption
   1. The Participant may redeem RCPV Rebates via the Website in the form of an issued check, or for prizes from the prize catalog on the Website.
   2. Shamir reserves the right to apply a RCPV Rebate redemption cap of Ten Thousand Dollars ($10,000) in any given month.
   3. The displayed dollar value of the prizes available for redemption on the Website, includes estimated sales tax and estimated shipping charges.
   4. Shamir shall provide Participant IRS Form 1099 as applicable per IRS Guidelines.
   5. The Participant may designate an Individual to act as their “Agent”. The Agent may redeem the RCPV Rebates on behalf of the Participant. The Participant may contact Shamir toll-free at (877) 514-8330 for any such designation.
5. RCPV Rebate Expiration
   1. RCPV Rebates shall expire twelve (12) months from date of issue applicable to the following accounts:
      1. Non-Activated Accounts – accounts that failed to complete registration for the Program Website.
      2. Inactive Accounts – accounts that have not qualified for RCPV Rebates in the past six (6) months.
6. RCPV Rebate Reports
   1. Monthly RCPV Rebate Reports may be provided to the Participant notating RCPV Rebates issued per Qualifying Product by request to the Participant’s Shamir Account Executive or by contacting Shamir toll-free at (877) 514-8330.
   2. Semi-annual RCPV Rebate Reports shall be provided to the Participant including RCPV Rebate balance and redemption information and may be accessed by the Participant via the Website.
7. Price Reporting
   1. The Participant understands and acknowledges that it may be required—
      pursuant to applicable federal or state laws or regulations, including, but not limited to, the federal health care program anti-kickback statute, 42 U.S.C. § 1320a-7b(b) (“Anti-Kickback Statute”), its state law counterparts, or pursuant to its contractual arrangements with third party payers―to fully and accurately report and disclose the net purchase price for all Qualifying Products it purchases under the Program.
   2. The Participant agrees that it will: (A) fully and accurately report and disclose—to the relevant government authority, health care plan or program, or third party payer—the net purchase price for all Qualifying Products it purchases and/or receives from a SPL under this Program; and (B) provide the relevant government authority, health care plan or program, or third party payer with such further information regarding its net purchase prices and the RCPV Rebates it earned and redeemed under this Program, as may be requested.
   3. The Participant may use invoices from the applicable SPL, along with RCPV Rebate Reports provided by Shamir to satisfy any price reporting request.
   4. The Participant may also contact Shamir at [email protected] for assistance with any price reporting request received.
8. Participant Ineligibility
   The Participant shall notify Shamir immediately and will no longer be eligible for the Program, in the event they are excluded, debarred or suspended from participation in any Federal Health Care Program and/or is found guilty of any Anti-Kickback Statute violation while participating in the Program. The term "Federal Health Care Program" is defined at 42 U.S.C. §1320a-7b(f) and includes Medicare, Medicaid, TRICARE and certain other government funded programs.
9. Program Terms & Conditions
   The Program Terms and Conditions are subject to change at any time, without prior notice to Participants.
10. Program Termination
    Shamir reserves the right to terminate the Program at any time without prior notice to Participants.
